These Terms and conditions will govern and apply to your use of the counteroll.com website and app (the “Site”) and your relationship with Counteroll Limited (Counteroll, we or us).

Please read them carefully as they affect your rights and liabilities under the law. If you do not agree to these Terms and Conditions, please do not use the Site. Please note that to buy any products on the Site, you are required to register as an authorised user and additional Terms and Conditions will apply.

Use of Our Site

The site is provided to you free of charge for your personal use, subject to these Terms and Conditions. By using the site, you agree to be bound by our terms and conditions for all subscriptions and purchases made on our site.

These terms and conditions do not affect your statutory rights.

Service Availability

Our website/application and service are designed to be available 24 hours a day, all year round, there may be times when the service is unavailable due to upgrades, service improvement, maintenance work and all other occurrences /events beyond our control such as power outages, telecommunications failures, war or civil unrest, natural disasters.

Amendments

We may make updates and changes to these Terms and Conditions, and you will get a notification through your registered email address, and we will publish the notice on our site. We will give a notice period before these changes come into effect.

Registration

You must be 18 years of age and over to register and use our site. It’s your responsibility to ensure your registration details are complete and always correct.

Password, Security and Fraud Prevention

Upon registration of your account, you must create a password, which you have a responsibility to keep confidential, and do not disclose, or share with anyone.

If it’s compromised, disclosed, or exposed to the knowledge of another person, you are advised to contact our Relationship Experience Service Team and or change it. And if there’s a security breach, threat, or misuse of our site, we will inform and request you to change your password and or suspend your account until a fix is done.

Limitation of Liability

Counteroll shall not be liable to any subscriber, user, or visitor to our site for any financial loss arising from usage of our learning materials, contents, information, eBooks as our products are only meant to be used for learning purposes

Intellectual Property Rights

The content of our site is protected by intellectual property rights which means without limitation, all patents, trademarks, service marks, trade names, domain names, business names, copyrights, design rights, database rights, rights to or in computer software, know-how, trade secrets, rights to or in confidential information and all other intellectual property rights and rights or forms of protection of a similar nature or effect which may subsist anywhere in the world whether or not registered or capable of registration, together with all applications for registration of, and any licence to use, any of the foregoing and “Intellectual Property” shall be construed accordingly belong to Counteroll Limited. You may download, and display the contents of our learning eBooks on computer screens, and print out copies for your personal learning purposes but not for commercial use such as reproduction, modification, distribution, or resale of any of these contents without written permission from Counteroll.

Subscription and Purchase

All our products are online-based and downloadable in eBook format, subscriptions and purchases made constitute a contract, which is payable immediately and thereafter by direct debit by the 1st of every month. Our subscription order runs monthly on a weekly [ Monday to Sunday] rolling plan. All product subscriptions, and purchases are subject to availability.

Fees and charges

Counteroll will disclose its fees and charges for providing the service to you before you initiate a payment. Fees and charges may change from time to time, and may depend, among other prevailing factors.  Details about subscription fees will be in Subscription. Subscription payment is collected via UK Direct Debit scheme operated by Bacs from or to your Account. All other payments should be made by direct faster payments.

Account Closure, Termination and or Suspension.

You may close your Account by contacting Customer Services, giving 3 months’ notice. You will still have to make payments during this notice period.

We can close your Account at any time if we give you 3 months’ notice.

We can suspend or terminate your Account at any time with immediate effect if we suspect any incidence of false information, fraud, and security related issues.

CUSTOMER SERVICES / COMPLAINTS PROCEDURE

All Customer services, Complaints and Compliments regarding all and or any aspect of our service can be sent to Service Experience Relationship Team through our site ‘Contact Us’.

Language and information

The language of any agreement between you and us, including these Terms & Conditions and the Privacy Policy, is English, and all services, instructions and transactions carried out in connection with it will be in English.

General

Counteroll reserve the right to change, upgrade, vary and or terminate the contents of our site at any time without notice. The failure of Counteroll to act against a breach of these terms and conditions shall not waive its enforceability.

If any provision or part-provision of these Terms and Conditions is or becomes invalid, illegal or unenforceable, it shall be deemed deleted, but that shall not affect the validity and enforceability of its other parts.

A person who is not a party to these Terms & Conditions shall not have any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Terms & Conditions, but this does not affect any right or remedy of a third party which exists, or is available, apart from that Act.
